GROUND LEASE <br /> THIS LEASE AGREEMENT ("Lease") is made and entered into this ___ <br />day of _________________, 2010, by and between THE WASHINGTON <br />UNIVERSITY, a corporation established by special act of the Missouri legislature <br />approved February 22, 1853 and acts amendatory thereto ("Landlord"), having an address <br />at 1 Brookings Drive, St. Louis, Missouri 63130-4899, and THE CITY OF <br />UNIVERSITY CITY, MISSOURI, a political subdivision of the State of Missouri <br />("Tenant"), having an address at 6801 Delmar Boulevard, University City, Missouri <br />63130. <br /> WITNESSETH, THAT: <br /> WHEREAS, Landlord is the owner of the real property described on <br />Exhibit "A" attached hereto, together with all improvements thereon and the <br />appurtenances thereunto pertaining (the "Real Property"); and <br /> WHEREAS, Tenant desires to construct, develop, operate and manage <br />thereon a fire station (the "Improvements," and together with the Real Property <br />collectively referred to herein as the "Premises"); and <br /> WHEREAS, Landlord desires to assist the Tenant in construction of the <br />Improvements by providing the Premises to Tenant pursuant to a long term ground lease <br />for $1.00 per year, a value of $_____________ to the Tenant. <br /> NOW, THEREFORE, for good and valuable consideration, the value, <br />receipt and sufficiency of which is hereby acknowledged by the parties, Landlord and <br />Tenant hereby agree as follows: <br /> 1. Grant of Lease. Landlord hereby leases and demises to Tenant, <br />and Tenant hereby leases and takes from Landlord, the Premises, together with all rights <br />and appurtenances thereunto pertaining, for the term and subject to the terms and <br />conditions hereinafter set forth. Tenant accepts the Real Property "AS IS" with all faults <br />and without reliance on any representation or warranty by Landlord regarding the <br />condition or fitness for Tenant's intended uses. <br /> 2. Term of Lease. The term of this Lease shall be a period of <br />seventy-five (75) years commencing on the date of this Lease (the “Commencement <br />Date”). <br /> 3. Rent. <br /> (a) Tenant shall make rental payments to Landlord at Campus Box 1049, 700 <br />Rosedale Avenue, St. Louis, Missouri 63112, or to such other address provided to Tenant <br />pursuant to Section 13 herein, without demand, deductions or offset, in annual <br />installments on the first day of each month during the term of this Lease as set forth <br />1 <br /> <br />
