by a brief report showing the basis for the computation and such other relevant <br /> facts as may be required by the City and paid at the office of the Director of <br /> <br /> Finance of the City during the City's regular business hours. The payment <br /> period shall con, hence as of the effective date of the franchise. In the event <br /> of a dispute, the City, if it so requests, shall be furnfshed a statement on <br /> <br /> said payment by an independent Certified Public Accountant reflecting the total <br /> amount of annual gross revenues and the above charges, deductions and computa- <br /> tions for the period covered by the payment. All charges for said CPA services <br /> shall be borne by the Company. <br /> <br /> e) The City shall have the right to inspect the Company's income <br />records and the right to audit and to recompute the amounts determined to be <br />payable under this Ordinance; provided, however, that such audit shall take <br />place within thirty-~ix (36) months following the close of each of the <br />Company's fiscal years. Any additional amount due the City as a result of the <br />audit shall be paid within thirty (30) days following written notice to the <br />Company by the City wl~ich notice shall include a copy of the audit report. <br /> <br /> f) Acceptance of any payment by the City shall not be construed as a <br />release from or as an accord and satisfaction 'of any claim the City may have <br />for further or additional sums payable as a franchise fee under this Ordinance <br />or for the performance of any other obligation of the Company. <br /> <br /> g) In the event that any franchise payment or recomputed amount is not <br />made on or before the dates specified herein, the Company shall pay as addi- <br />tional compensation: <br /> <br /> 1. An interest charge on the amount in arrears computed <br /> from such due date at the current prime rate of the <br /> First National Bank in St. Louis or the maximum <br /> permitted by law. <br /> <br /> 2. A sum of money equal to five percent (5%) of the <br /> amount due in order to defray those additional expenses <br /> and cost incurred by the City by reason of delinquent <br /> payment. <br /> <br /> h) The Company, in addition to the five percent (5%) franchise fee, <br />will allocate a minimum of two percent (2%) of the annual gross revenues for <br />access and local orig~natlon programming, exclusive of the franchise owned <br />cablecasting studio and mobile equipment and personnel required under other <br /> <br />26 <br /> <br /> <br />
