authorized officer of the Authority or the Redeveloper, and shall be sufficiently given or delivered if it is dispatched by registered or certified mail, postage prepaid, return receipt requested, or delivered personally and (i) in the case of the Redeveloper is addressed or ~elivered personally to the Redeveloper as follows: Lewis Center Redevelopment Corporation, c/o McCormack, Baron & Associates, 4625 L~ndell Blvd., St. Louis, Missouri 63108, Attention= President, or (ii) in the case of the Authority is addressed or delivered personally to the Authority as follows: Land Clearance for Redevelopment Authority of University City, Missouri, 6801 Delmar Boulevard, 4th Floor, University City, Missouri 63130, Attention: Mary F. Fahey, Executive Director, or to such other respective addresses as the Authority and the Redeveloper respectively, may hereafter designate in writing from time to time. Section 15. Recordation. Upon notice from either party to the other, the Authority and the Redeveloper shall execute (in recordable form) and deliver to the party request- ~ng the same an appropriate instrument which, when recorded, will impart constructive notice to third parties of the rights of the Authority and the Redeveloper under this Agreement. Section 16. Successor and Assigns; University City as Third Party Beneficiary. Except as limited by Section 5 hereof, this Agreement shall be binding upon and inure to the benefit o the successors and assigns of the parties hereto. The Authority and the Redeveloper hereby acknowledge the City of University City as a third party beneficiary of the provisions of Section 5 and shall be entitled to enforce directly such provisions against the Redeveloper and its permitted successors and assigns. Section 17. Amendments. This Agreement may be amended only by written document, duly executed by the parties hereto evidencing the mutual agreement of the parties hereto such amendment. Section 18. Entire Agreement. .This Agreement together with all Exhibits hereto constitutes the entire agreement between the parties hereto with respect to the subject matter hereof and the transactions contemplated herein and supersedes all prior agreements, representations, warran- ties, statements,'promises and understandings, whether oral or written. Section 19. Head Notes. The titles and head notes of the Sections as set forth in this Agreement are inserted for convenience of reference only and shall be disregarded in construing or interpreting any of the provisions of the Agreement. -8-
