Authority as follows: Land Clearance for Redevelopment Authority of University City, Missouri, 6801 Delmar Boulevard, 4th Floor, University City, Missouri 63130, Attention: Mary F. Fahey, Executive Director, or to such other respective addresses as the Authority and the Redeveloper respectively, may hereafter designate in writing from time to time. Section 15. Recordation. Upon notice from either party to the other, the Authority and the Redeveloper shall execute (in recordable form) and deliver to the party request- ing the same an appropriate instrument which, when recorded, will impart constructive notice to third parties of the rights of the Authority and the Redeveloper under this Agreement. z Section 16. _ Incorporation by Reference. The Plan, Ordinance No. , the applicable provisions of Ordinance No. 5085 as amended by Ordinance No. 5156 and the applicable provisions of Chapter 353, Missouri Revised Statutes, 1978, as amended, are hereby incorporated by reference. Section 17. Successor and Assigns; University City as Third Party Beneficiary. Except as limited by Section 5 hereof, this Agreement shall be a covenant running with the Land and shall be binding upon and inure to the benefit of the successors and assigns of the parties hereto. The Authority and the Redeveloper hereby acknowledge the City of University City as a third party beneficiary of the provisions of Section 5 and shall be entitled to enforce directly such provisions against the Redeveloper and its permitted successors and assigns. Section 18. Amendments. This Agreement may be amended only by written document, duly executed by the parties hereto evidencing the mutual agreement of the parties hereto to such amendment. Section 19. Entire Agreement. This Agreement to- gether with all Exhibits hereto constitutes the entire agree- ment between the parties hereto with respect to the subject matter hereof and the transactions contemplated herein and supersedes all prior agreements, representations, warranties, statements, promises and understandings, whether oral or written. Section 20. Severability. If any provision of this Agreement shall be held invalid by any court of competent jursidiction, such holding shall not invalidate any other provision hereof. -7-
