Authority as follows: Land Clearance for Redevelopment <br /> Authority of University City, Missouri, 6801 Delmar Boulevard, <br /> 4th Floor, University City, Missouri 63130, Attention: <br /> Mary F. Fahey, Executive Director, or to such other respective <br /> addresses as the Authority and the Redeveloper respectively, <br /> may hereafter designate in writing from time to time. <br /> Section 15. Recordation. Upon notice from either <br /> party to the other, the Authority and the Redeveloper shall <br /> execute (in recordable form) and deliver to the party request- <br /> ing the same an appropriate instrument which, when recorded, <br /> will impart constructive notice to third parties of the rights <br /> of the Authority and the Redeveloper under this Agreement. z <br /> Section 16. <br /> _ Incorporation by Reference. The Plan, <br /> Ordinance No. , the applicable provisions of Ordinance <br /> No. 5085 as amended by Ordinance No. 5156 and the applicable <br /> provisions of Chapter 353, Missouri Revised Statutes, 1978, as <br /> amended, are hereby incorporated by reference. <br /> Section 17. Successor and Assigns; University City as <br /> Third Party Beneficiary. Except as limited by Section 5 <br /> hereof, this Agreement shall be a covenant running with the <br /> Land and shall be binding upon and inure to the benefit of the <br /> successors and assigns of the parties hereto. The Authority <br /> and the Redeveloper hereby acknowledge the City of University <br /> City as a third party beneficiary of the provisions of <br /> Section 5 and shall be entitled to enforce directly such <br /> provisions against the Redeveloper and its permitted successors <br /> and assigns. <br /> Section 18. Amendments. This Agreement may be <br /> amended only by written document, duly executed by the parties <br /> hereto evidencing the mutual agreement of the parties hereto to <br /> such amendment. <br /> Section 19. Entire Agreement. This Agreement to- <br /> gether with all Exhibits hereto constitutes the entire agree- <br /> ment between the parties hereto with respect to the subject <br /> matter hereof and the transactions contemplated herein and <br /> supersedes all prior agreements, representations, warranties, <br /> statements, promises and understandings, whether oral or <br /> written. <br /> Section 20. Severability. If any provision of this <br /> Agreement shall be held invalid by any court of competent <br /> jursidiction, such holding shall not invalidate any other <br /> provision hereof. <br /> -7- <br />
