Throop; and <br /> <br /> (b) in the case of the City, it is addressed to or <br />delivered personally to the City of University City, MissoUri, <br />6801 Delmar Boulevard, Second Floor, University City, Missouri, <br />Attention: Frank Ollendorff, City Manager; and <br /> <br /> (c) in the case of the Commission, it is addressed to <br />or delivered personally to The Tax Increment Financing Commission <br />of University City, Missouri, 6801 Delmar Boulevard, Fourth <br />Floor, University City, Missouri 63130, Attention: Mary Fahey, <br />with a copy to Gregory R. Smith, Esq., Husch, Eppenberger, <br />Donohue, Cornfeld & Jenkins, 100 North Broadway, Suite 1300, <br />St. Louis, Missouri 63102, or at such other address with respect <br />to either such party as that party may, from time to time, <br />designate in writing and forward to the other as provided in this <br />Section. <br /> <br />Section 18. Miscellaneous Provisions. <br /> <br /> (a) Inspection. The Developer shall allow authorized <br />representatives of the Commission and/or the City access to the <br />Property from time to time prior to the completion of <br />Improvements for reasonable ~nspection thereof. <br /> <br /> (b) Choice of law. This Agreem&nt shall be taken and <br />deemed to have been fully executed, made by the parties hereto <br />in, and governed by the laws of State of Missouri for all <br />purposes and intent. <br /> <br /> (c) Recordinq. The Commission shall have the right, <br />in its sole and unfettered discretion to record this Agreement, <br />and any modifications thereof or additions thereto, in the office <br />of the Recorder of Deeds for the County of St. Louis, and the <br />cost of such recordation shall be paid for by the Developer. <br /> <br /> ~(d) Obligations of Developer to Bear Interest. All <br />obligations on the part of the Developer to pay money hereunder <br />shall be deemed to be the essence of this Agreement. In <br />addition, all amounts owing to the Commission by Developer <br />hereunder shall bear interest from the day when due until paid at <br />a fluctuating interest rate per annum equal at all times to Four <br />Percent (4%) above the publicly announced "Prime Rate" of The <br />Boatmen's National Bank of St. Louis or its successor. <br /> <br /> (e) Successors and Assiqns. The terms and provisions <br />of this Agreement shall be binding upon the successors and <br />assigns of the parties hereto and shall inure to the benefit of <br />the successors and permitted assigns hereof. <br /> <br />STL-6313 <br /> <br />- 12 - <br /> <br /> <br />
