EXHIBIT C <br /> <br />AGREEMENT <br /> <br /> This Agreement made and entered into this day of <br /> , 1990 by and among THE TAX INCREMENT FINANCING <br />COMMISSION OF UNIVERSITY CITY, MISSOURI, a body politic and <br />corporate organized and operating pursuant to Chapter 99.800 et <br />seq. R.S.Mo. 1986, as amended, (hereinafter referred to as the <br />"Commission"), the CITY OF UNIVERSITY CITY, MISSOURI, <br />(hereinafter referred to as the "City") and WESTOVER CENTER <br />PARTNERSHIP, a Missouri general partnership (hereinafter referred <br />to as "Developer"); <br /> <br />WITNESSETH <br /> <br /> WHEREAS, the Commission is a public body, created pd~suant <br />to the Real Property Tax Increment Allocation Redevelopment Act, <br />Sections 99.800 to 99.865 R.S.Mo. 1986, as amended (the "Act"), <br />and Ordinance No. 5653 of the City; and <br /> <br /> WHEREAS, in furtherance of the objectives of the Act, the <br />Commission is carrying out certain redevelopment projects <br />pursuant to a Redevelopment Plan for the area known as the Olive <br />Boulevard Central Tax Increment Finance District (the "TIF <br />District"), which Redevelopment Plan is known as the "Olive <br />Boulevard Central Tax Increment Finance District Redevelopment <br />Plan" dated August 29, 1988 (hereinafter the "Plan"), which Plan <br />was approved by the City Council of the City by Ordinance No. <br />5686 effective November 21, 1988; <br /> <br /> WHEREAS, by Ordinance No. 5687 the City Council of the City <br />designated the TIF District as a "Redevelopment Project Area" <br />within the meaning of the Act; and <br /> <br /> WHEREAS, Developer has submitted a proposed development <br />project da~ed May 8, 1990 providing for the construction by <br />Developer of an approximately 30,400 square foot strip shopping <br />center (the "Proposal") to the Commission in response to <br />Invitations for Proposals published by the Commission on February <br />16, 1989, April 28, 1989 and May 22, 1990 in the St. Louis <br />Post-Dispatch; and <br /> <br /> WHEREAS, by Resolution No. 10, on May 29, 1990, the <br />Commission designated and selected Developer and its Proposal to <br />develop a portion of the TIF District pursuant to the Plan and <br />authorized negotiation of a development agreement pursuant <br />thereto; and <br /> <br />STL-6313 <br /> <br /> <br />
