THIS AGREEMENT is made and entered into as of the/0~ day of February, 1992 by and among THE TAX INCREMENT FINANCING COMMISSION OF UNIVERSITY CITY, MISSOURI (the "Commission"), the CITY OF UNIVERSITY CITY, MISSOURI, a constitutional charter city (the "City") and ROYAL BANKS OF MISSOURI, a Missouri state bank (the "Bank" ) . Recitals WHEREAS~ the Commission is a public body, created pursuant to the Real Property Tax Increment Allocation Redevel0pment Act, Sections 99.800 to 99.865, R.S.Mo. 1986, as amended (the "Act"), and Ordinance No. 5653 of the City; WHEREAS, in furtherance of the objectives of the Act, the Commission is carrying out certain redevelopment projects pursuant to a Redevelopment Plan for the area known as the 0live Boulevard Central Tax Increment Finance District (the "TIF District"), which Redevelopment Plan is known as the "0live Boulevard Central Tax Increment Finance District Redevelopment Plan" dated August 29, 1988 (hereinafter the "Plan"), which Plan was approved by the City Council of the City by Ordinance No. 5686 effective November 21, 1988; WHEREAS, by Ordinance No. 5687 the City Council of the City designated the TIF District as a "Redevelopment Project Area" within the meaning of the Act; WHEREAS, The City is the owner of certain monies now or hereafter deposited in the Acquisition Loan Subaccount of the Special Allocation Fund (the "Account") created by Ordinances No. 5686, 5781, and 5~, enacted by the University City City Council (the "City Councl~ on November 21, 1988, December 10, 1990, and February~O, 1992, respectively, which monies represent certain of the payments in lieu of taxes (the "PILOTs") received with respect to certain real property located in St. Louis County, Missouri (the "County") and legally described on ~xhibit a hereto (the "Area"), which payments in lieu of taxes were made with respect to redevelopment of such property under the Real Property Tax Increment Allocation Redevelopmerit Act, Sections 99.800 to' 99.865, R.S.Mo. (1986) as amended (the "Act"). WHEREAS, the City desires to borrow from Bank the principal amount of Four Hundred Twelve Thousand Five Hundred and 00/100 Dollars ($412,500.00) for the purposes of donating said sums to the Commission to allow the Commission, in accordance with the objectives of the Plan, (i) to purchase real property in the Area; including, without limitation, the parcels listed on STL-77779
