Section 10. T.imitation of Obligations. <br /> <br /> (a) The Bank hereby acknowledges that the Note and the <br />Cityts obligations hereunder are payable solely from the Net <br />Proceeds (as hereinafter defined) generated by the Plan (as <br />hereinafter defined) for the Area, and deposited in the Account, <br />and from no other revenue or property of the City, it being <br />understood that the Note and the Cityts obligations hereunder are <br />not the general obligations of the City, the County, the State of <br />Missouri or any political sutxtivision thereof, nor of any officer <br />or employee thereof, and it being further understood that the <br />Note is issued in connection with the City~s Olive Boulevard <br />Central Tax Increment Finance District Redevelopment Plan for <br />redevelopment of part of the City through tax increment financing <br />(the "Plan"), as approved in City Ordinance No. approving <br />the Plan. For the purpose of the foregoing, the'Net Proceeds <br />generated by the Plan for the Area and deposited in the Account <br />are those payments in lieu of taxes (as defined in S 99.805(7) <br />and S 99.845, R.S. Mo.) attributable to the increase in the <br />current equalized assessed valuation of all taxable lots, blocks, <br />tracts, and parcels of real property in the Area, less (i) the <br />costs of collection charged by the County; (ii) administrative <br />expenses incurred by the City or the Tax Increment Financing <br />Commission of the City of University City, Missouri ("TIF <br />Commission") in administering the Plan~ and (iii) the net <br />proceeds of payments in lieu of taxes generated by that portion <br />of the Area legally described on Exhibit C hereto which have been <br />pledged to The Boatmen's Bank of St. Louis pursuant to Ordinance <br />No. 5781 (which pledge is superior to the security interest <br />granted hereby for such funds), all of which are as defined in <br />Ordinance No. 5687 enacted by the City Council on November 21, <br />1988 and by Ordinance No. 5781 enacted December 10, 1990, <br />(collectively the "Area Ordinance") over and above the certified <br />total initial equalized assessed value of such property (as <br />provided for by ~ 99.855, R.S. Mo.) in the Area, and further <br />subject to the annual limitations on the amounts to be deposited <br />in the Account as set forth on Exhibit B hereto (the "Net <br />Proceeds"), all as more particularly set forth in Ordinance No. <br />5687 and in the Note. <br /> <br /> (b) Notwithstanding anything else herein to the contrary, <br />if in any year the Area should fail to generate sufficient PILOTs <br />to permit the maximum amount shown on Exhibit B to be deposited <br />into the Account in such year, the shortfall shall be deposited <br />in any later year or years during the term of the Note if in such <br />later year or years the Area should generate more than enough <br />PILOTs to make the maximum deposit into the Account for such <br /> <br />STL-68576 <br /> - 4 - <br /> <br /> <br />
