(2) the City (including all subordinate entities thereof) will not issue an aggregate <br />principal amount of obligations designated by the City to be "qualified tax-exempt obligations" <br />during the calendar year in which the Bonds are issued, including the Bonds, in excess of <br />$10,000,000, without first obtaining an opinion of nationally recognized counsel in the area of <br />municipal finance that the designation of the Bonds as "qualified tax-exempt obligations" will not <br />be adversely affected. <br /> <br />The Mayor is hereby authorized to take such other action as may be necessary to make effective the <br />designation in this subsection (f) . <br /> <br /> (g) The foregoing covenants shall remain in full force and effect notwithstanding the <br />defeasance of the Bonds pursuant to Article VII of this Ordinance or any other provision of this <br />Ordinance, until the final maturity date of all Bonds Outstanding. <br /> <br /> Section 802. Further Authority. The officers of the City, including the Mayor and City Clerk, <br />are hereby authorized and directed to execute all documents and take such actions as they may deem <br />necessary or advisable in order to carry out and perform the purposes of this Ordinance and to make <br />ministerial alterations, changes or additions in the foregoing agreements, statements, instruments and other <br />documents heroin approve/t, authorized and confirmed which they may apprdve, and the execution or <br />taking of such action shall be conclusive evidence of such necessity or advisability. <br /> <br /> Section 803. Severability. If any section or other part of this Ordinance, whether large or small, <br />is for any reason held invalid, the invalidity thereof shall not affect the validity of the other provisions <br />of this Ordinance. <br /> <br /> Section 804. Governing Law. This Ordinance shall be governed exclusively by and construed <br />in accordance with the applicable laws of the State of Missouri. <br /> <br /> Section 805. Effective Date. This Ordinance shall take effect and be in full force from and after <br />its passage by the City Council. <br /> <br />-18- <br /> <br /> <br />
