Except as stated herein, the terms and conditions of the franchise shall continue in full force <br />a,,~ ,~r~,~,,t The C4ty waives any right to acquire the assets of the eable ss~/em which it may t. <br />under the franchise as a result of the franchise transfer. <br /> <br /> SECTION 2. CLOSING. The transfer must close by March 30, 1997, in accordance with <br />the Asset Exchange Agreement dated December 20, 1995, as amended, and a sworn statement <br />establishing that such closing has occurred must be filed by Continental and TCICP with the City <br />Clerk by April 15, 1997. Any transfer closing subsequent to March 30, 1997, shall require a new <br />request for consent. If the transfer does not close by March 30, 1997, and/or if the aforesaid sworn <br />statement is not filed with the City Clerk by April 15, 1997, then the request for consent to the <br />transfer shall be deemed denied as of the effective date of this Ordinance. Upon the filing of the <br />required sworn statement, the City releases Continental from all obligations under the franchise that <br />accrue on or after the date of closing of the transfer, but not from obligations which accrued prior <br />thereto (which shall include franchise fee obligations on revenues for services provided before the <br />closing date). <br /> <br /> SECTION 3. REVOCABILITY. The franchise shall be subject to revocation in the event <br />any representation made or information provided by Continental, CCM, TCICP, or Heritage in <br />connection with obtaining this ordinance proves to be materially and intentionally false. <br /> <br /> SECTION 4. REGULATIONS. <br />Customer Service Regulations attached <br />incorporated into the City Code. <br /> <br /> The Cable Television Consumer Protection and <br />hereto as Exhibit B are hereby adopted and shall be <br /> <br /> SECTION 5. EXTENSION OF FRANCHISE TERM. Subjecttotheconditionssetforth <br />herein, the term of the cable television franchise granted by the City to Continental is hereby extended <br />so as to expire at 11:59 p.m. on June 23, 1997. <br /> <br /> SECTION 6. EMERGENCY CLAUSE: EFFECTIVE DATE. This is an emergency <br />ordinance. An emergency exists because federal law limits the amount of time under which the City <br />can consider the request for consent to franchise transfer and the City's next City Council meeting is <br />beyond the time limit This Ordinance shall take effect and be in full force and effect from and after <br />its passage as provided by law. <br /> <br />PASSED this 19thday of August <br /> <br />,1996. <br /> <br />ATTEST: <br /> <br />City Clerk <br /> <br /> <br />
