attorneys' fees, filing fees, recording fees, and experts' fees. <br /> <br /> "Annual Deficiency": For any TIF Note, the amount by which <br />the balance of Net Proceeds in the Special Allocation Fund is <br />less than the amount of principal and interest payable under such <br />Note on an Annual Payment Date thereof. <br /> <br />"City Council": The duly elected City Council of the City. <br /> <br /> "Certificate of Substantial Completion": A document issued <br />by Developer's Architect or Engineer in accordance with this <br />Agreement and evidencing Developer's satisfaction of all <br />obligations and covenants to construct the Work. <br /> <br /> "City": The City of University City, a constitutional <br />charter city located in St. Louis County, Missouri. <br /> <br /> "City Manager": <br />or his designee. <br /> <br />The duly appointed City Manager of the City <br /> <br /> "Concept Site Plan": a preliminary plan sheet attached to <br />this Agreement as Exhibit A and incorporated by reference and <br />depicting the conceptual program for the improvements to be <br />constructed in accordance with the Redevelopment Plan and this <br />Agreement. <br /> <br /> "Construction Plans": Plans, drawings, specifications, and <br />related documents, and construction schedules for the <br />construction of the Work, together with all supplements, <br />amendments or corrections, submitted by Developer and approved by <br />the City in accordance with this Agreement. <br /> <br /> "Developer": <br />interest. <br /> <br />Schnuck Markets, Inc. and its successors in <br /> <br /> "Eligible Redevelopment Project Costs": Those Redevelopment <br />Project Costs, as provided for in Section 4.3 hereof and <br />specifically identified in Exhibit G hereto and which are <br />reimbursable by the City to the Developer pursuant to the terms <br />and conditions of this Agreement. <br /> <br /> "Issuance Costs": All reasonable and customary costs of <br />issuance of all TIF Notes, including, but not limited to <br />professional service costs, including but not limited to, <br />architectural, engineering, legal, marketing, financial, planning <br />or special services, and debt service reserve. <br /> <br /> "Notice of Acquisition": A written notification from <br />Developer to the City that Developer has acquired the Property <br />necessary for the Redevelopment Project. <br /> <br />- 3 - <br /> <br />STL-535046 <br /> <br /> <br />
