limitation, the fees and disbursements of Counsel to the City, Special Tax Counsel, Disclosure Counsel <br />to the Underwriter, and the expenses and costs for the preparation, printing, photocopying, execution and <br />delivery of the Certificates, the Official Statement, this Purchase Contract and all other agreements and <br />documents contemplated hereby) shall be paid by the Trustee out of the proceeds of the Certificates. If <br />the Certificates are not sold by the Trustee to the Underwriter or placed by the Placement Agent (unless <br />such sale be prevented at the Closing Time by the Underwriter's or the Placement Agent's default), all <br />such expenses and costs shall be paid by the City. <br /> <br />SECTION 9. USE OF OFFICIAL STATEMENT <br /> <br /> The City hereby ratifies and confirms the Underwriter's and the Placement Agent's use of the <br />Preliminary Official Statement in connection with the sale of the Certificates; and the City authorizes the <br />use of, and the City will make available, the Official Statement for the use by the Underwriter and the <br />Placement Agent in connection with the sale of the Certificates. <br /> <br /> No tombstone or other advertisement of the sale of the Certificates by the Underwriter or the <br />Placement Agent shall be published unless such tombstone or other advertisement is submitted first to <br />the City, and the City approves such tombstone or other advertisement, orally or in writing. <br /> <br />SECTION 10.
