$1,415,000 <br /> CITY OF UNIVERSITY CITY, MISSOURI <br />CERTIFICATES OF PARTICIPATION <br />(CITY OF UNIVERSITY CITY, MISSOURI, PARKING FACILITY PROJECT) <br />SERIES 1997 <br /> <br />February10,1997 <br /> <br />PURCHASE CONTRACT <br /> <br />Mayor and City Council <br />University City, Missouri <br /> <br />Magna Trust Company <br />St. Louis, Missouri <br /> <br />Ladies and Gentlemen: <br /> <br /> On the basis of the representations, warranties and covenants and upon the terms and conditions <br />contained in this Purchase Contract, the undersigned, Edward D. Jones & Co., L.P. (the "Underwriter"), <br />and Commerce Bank, National Association (the "Placement Agent") hereby offer to purchase and solicit <br />purchases of $1,415,000 aggregate principal amount of City of University City, Missouri, Certificates of <br />Participation (City of University City, Missouri, Parking Facility Project), Series 1997 (the <br />"Certificates"), to be delivered by Magna Trust Company (the "Trustee"), at the direction of the City of <br />University City, Missouri (the "City"), under and pursuant to a Declaration and Indenture of Trust dated <br />as of February 1, 1997 (the "Indenture") executed by the Trustee. <br /> <br />SECTION 1. CITY'S REPRESENTATIONS, WARRANTIES AND AGREEMENTS <br /> <br /> By its acceptance hereof the City hereby represents and warrants to, and agrees with, the <br />Underwriter, the Placement Agent and the Trustee that: <br /> <br /> (a) The City is a municipal corporatJon and constitutional charter city, organized <br />and existing under the laws of the State of Missouri. The City is authorized (i) to lease to the <br />Trustee pursuant to a Ground Lease dated as of February 1, 1997 (the "Ground Lease") between <br />the City, as lessor, and the Trustee, as lessee, the real property upon which the Project (as <br />defined in the Indenture) will be situated (together with all improvements now or to be situated <br />thereon, the "Leased Property"), and (ii) to lease the Leased Property back from the Trustee <br />pursuant to a Lease/Purchase Agreement dated as of February 1, 1997 (the "Lease") between the <br />Trustee, as lessor, and the City, as lessee. <br /> <br /> <br />
