ARTICLE III <br /> <br />AMOUNTS PAYABLE <br /> <br /> Section 3.01. Amounts Payable. The Lessee shall pay the Base Rentals and the Supplemental <br />Rent (but will not be entitled to prepay or cause to be prepaid any such Base Rentals or Supplemental <br />Rent, except as otherwise expressly provided in the Indenture or in Sections 3.01(c), 8.01(c) and 12.01 <br />hereof, in which event such money shall be applied to the prepayment of the Certificates in accordance <br />with Sections 2.02 and 3.06, respectively, of the Indenture) in the amounts, at the times, and in the <br />manner set forth herein, said amounts constituting in the aggregate the total of the annual Payments <br />which are payable under this Lease, as follows: <br /> <br /> (a) Base Rentals. The Lessee agrees, subject to the availability of appropriations of funds to <br />it therefor and other money legally available for the purpose and subject to the use of proceeds from the <br />sale of the Certificates to pay Base Rentals as provided herein, and otherwise subject to the limitations of <br />Section 3.04 hereof, to pay to the Lessor as provided in Section 3.06 hereof during the Initial Term and <br />each Renewal Term: <br /> <br /> (i) Base Rentals representing a Principal Component payable in annual installments <br />on February 1 for each Renewal Term of this Lease as indicated in the Base Rental Payment <br />Schedule attached as Schedule 1 hereto, commencing on February 1, 1998, and <br /> <br /> (ii) Base Rentals representing an Interest Component payable on each February 1 <br />and August 1 for the Term of this Lease as indicated in the Base Rental Payment Schedule <br />attached as Schedule 1 hereto, commencing on August 1, 1997. <br /> <br />The Base Rentals are to be recalculated by the Lessor and the Lessee understands that the Base Rental <br />Payment Schedule attached as Schedule 1 hereto shall be revised from time to time in the event of a <br />partial prepayment of Certificates (other than mandatory prepayments, if any, pursuant to Section 3.02 of <br />the Indenture) or the issuance of Additional Certificates pursuant to Section 2.08 of the Indenture. To <br />provide for the timely payment of Base Rentals, the Lessee covenants and agrees to pay to the Lessor for <br />deposit in the Certificate Payment Fund on the 15th day of the month preceding each Payment Date the <br />amount of the Base Rental due on such Payment Date. The Lessor shall notify the Lessee of the amount <br />of such payment not later than 30 days prior to each Payment Date; provided, however, that failure of the <br />Lessor to give such notice will not relieve the Lessee of its obligation to pay Base Rentals or to make <br />deposits to the Certificate Payment Fund as described herein. <br /> <br /> (b) SupplementalRent. In addition to the Base Rentals hereinabove set forth, and as part of <br />the total Payments during each Renewal Term for the Term of the Lease, the Lessee shall pay on a timely <br />basis, to the parties entitled thereto, an amount or amounts (the "Supplemental Rent") for the Renewal <br />Term to which the following items apply or relate, equivalent to the sum of the following: <br /> <br /> (i) the annual fee of the Lessor for the ordinary services of the Lessor rendered and <br />its ordinary expenses incurred under the Indenture; <br /> <br /> (ii) the reasonable fees and charges of the Lessor, any paying agent and any <br />registrar appointed under the Indenture with respect to the Certificates for acting as trustee, <br />paying agent and registrar as provided in the Indenture, including but not limited to those <br />payable pursuant to Section 9.06 of the Indenture; <br /> <br />-4- <br /> <br /> <br />
