SECTION 2. CLOSING. The transfer must close by June 1, 1999, in accordance with <br />the Agreement and Plan of Merger dated June 23, 1998, as amended, and a sworn statement <br />establishing that such closing has occurred must be filed with the City Clerk by June 10, 1999. Any <br />transfer closing subsequent to the closing date, shall require a new request for consent. If the transfer <br />does not close by the closing date, and/or if the aforesaid sworn statement is not filed with the City <br />Clerk by June 10, 1999, then the request for consent to the transfer shall be deemed denied as of the <br />effective date of this Ordinance. <br /> <br /> SECTION 3. REVOCABILITY. The franchise shall be subject to revocation in the event <br />any representation made or information provided by TCI, AT&T or TCICP, in connection with <br />obtaining this ordinance proves to be materially and intentionally false. <br /> <br /> SECTION 4. REGULATIONS. The Revisions to the City's Cable Television Consumer <br />Protection and Cu~tomer Service Regulations attached hereto as Exhibit B are hereby adopted and <br />shall be incorporated into the City Code. <br /> <br /> SECTION 5. EXTENSION OF FRANCHISE TERM. Subject to the conditions set <br />forth herein, the term of the cable television franchise granted by the City to Continental is hereby <br />extended so as to expire at 11:59 p.m. on December 23, 2000. <br /> <br /> SECTION 6. EMERGENCY CLAUSE: EFFECTIVE DATE. This is an emergency <br />ordinance. An emergency exists because federal law limits the amount of time under which the City <br />can consider the request for consent to franchise transfer and the City's next City Council meeting <br />is beyond the time limit. This Ordinance shall take effect and be in full force and effect from and after <br />its passage as provided by law. <br /> <br />PASSED this <br /> <br />ATTEST: <br /> <br />City'Clerk <br /> <br /> <br />
