<br />WHEREAS, a public hearing was held on June 25, 2001, in accordance with franchise <br />requirements regarding the application for transfer consent submitted by TCI and Charter; and <br /> <br />WHEREAS, based upon the foregoing information, representations, and circumstances, <br />the City Council has concluded that it is in the best interest of the City, and its residents and <br />businesses to grant consent to the transfer of the franchise as provided herein; <br /> <br />NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF <br />UNIVERSITY CITY, MISSOURI AS FOllOWS: <br /> <br />SECTION 1. CONSENT TO TRANSFER. Subject to the conditions set forth herein the City <br />hereby grants its consent to the transfer of the cable television franchise now held by TCI to <br />Charter, provided the parties submit to the City Clerk the supplement to their application for <br />consent in the form of Exhibit A signed by all the companies named therein no later than October <br />1, 2001, and if said companies fail to submit such signed supplement by such date then the <br />request for consent shall be hereby denied for the reasons stated herein. The terms and <br />conditions of the franchise shall continue in full force and effect. <br /> <br />SECTION 2. CLOSING. The transfer shall close no later than October 1, 2001, and a sworn <br />statement establishing that such closing has occurred must be filed with the City Clerk by <br />October 10,2001. Any transfer closing subsequent to the closing date shall require a new request <br />for consent. If the transfer does not close by the closing date, or if the aforesaid sworn statement <br />is not filed with the City Clerk by October 10, 2001, then the request for consent to the transfer <br />shall be deemed denied as of the effecti ve date of this Ordinance. <br /> <br />SECTION 3. REVOCABILITY. The franchise shall be subject to revocation in the event any <br />representation made or information provided by TCI or Charter in connection with obtaining this <br />ordinance proves to be materially and intentionally false. <br /> <br /> <br />PASSED this <br /> <br />().<) day of <br /> <br />2001. <br /> <br />.
