<br />Exhibit A <br /> <br />AGREEMENT SUPPLEMENTING <br />APPLICATION FOR FRANCHISE <br />AUTHORITY CONSENT TO TRANSFER <br />CABLE TELEVISION FRANCHISE <br /> <br />COME NOW TCI Cable Partners of S1. Louis, L.P., ("TCI"), TCI Holding, Inc. ('TCI <br />Holding"), Charter Communications Entertainment I, L.L.C. ("Charter") and Charter <br />Communications Holding Company, L.L.C, ("Charter Holding"), collectively referred to herein as <br />the "Companies," and supplementing the FCC 394 Application for Franchise Authority Consent to <br />Transfer of Cable Television Franchise submitted to the City of University City, Missouri (the <br />"City"), in order to induce the City to provide the requested consent to the transfer of the cable <br />television franchise holder from TCI to Charter, agree as follows: <br /> <br />I. TCI and TCI Holding represent and warrant that to the best of their knowledge and <br />belief TCI has fulfilled or will fulfill all of its obligations under the franchise, and TCI Holding <br />unconditionally guarantees the performance of all of the obligations of TCI under the franchise <br />relating to the period of time up to and including the closing of the transaction between TCI and <br />Charter (including payment of franchise fees on all revenues for services, as provided in the <br />franchise, provided through such closing date), and shall be jointly and severally liable with TCI on <br />such obligations; provided, such guarantee shall only remain in effect for one year after the closing <br />date of the transaction between TCI and Charter and any and all claims which arose prior to the <br />closing date thereynder must be presented before the expiration of such one year period. <br /> <br />2. Charter and Charter Holding represent and warrant that Charter will continue to <br />perform all of the obligations under the franchise, and Charter Holding unconditionally guarantees <br />such performance by Charter and shall be jointly and severally liable with Charter on such <br />obligations. <br /> <br />3. Charter and Charter Holding represent and warrant that the City's consent to the <br />proposed transfer in no way affects the enforceability of the franchise according to its terms and <br />conditions and does not affect the lawfulness of the provisions of the franchise or related City <br />regulations, including but not limited to all provisions regarding the location of cable system <br />operation offices, franchise fees, system construction and upgrades, and Public, Educational, and <br />Governmental (PEG) access, <br /> <br />4. Charter and Charter Holding agree that on and after the date of closing of the <br />franchise transfer Charter will at a minimum operate the cable system within the City at the same <br />capacity and with the same level and quality of service as is currently made available by TCI in the <br />City and as required under the franchise. <br /> <br />4 <br />
