(n) Construction of Franchise Agreement: <br /> The provisions of this Franchise Agreement shall be liberally construed in <br />accordance with generally accepted rules of contract construction and to promote the <br />public interest. The express provisions of the Franchise Agreement constitute a valid and <br />enforceable contract between the parties. In the event of a clear conflict between the Cable <br />Ordinance and this Agreement, the Agreement shall prevail, except where the conflict <br />arises from the lawful exercise of the City's police power. <br /> <br /> (o) Amendment of Franchise Agreement: <br /> The City shall liberally amend this Franchise Agreement upon the application <br />of the Franchisee whenever necessary to enable the Franchisee to take advantage of <br />developments in the field of cable communications which, in the City's opinion, will afford <br />the Franchisee an opportunity to serve its Subscribers more efficiently, effectively and/or <br />economica!!y~ <br /> <br /> (p) Periodic Review: <br /> (1) Approximately every three (3) years during the term of the Franchise, <br />the City may undertake a review of the Franchisee's performance and new technologies <br />and programming within the cable industry for the purposes of (a) determining compliance <br />with this Agreement and applicable law and (b) the parties' consideration of the <br />implementation of new technology and/or programming changes. Unless specifically <br />waived by the City, attendance of the Franchisee's authorized representatives shall be <br />mandatory. <br /> <br /> (2) To assist in the City's review, the Franchisee shall upon the City's <br />written request submit a report to the City describing advances in cable technology <br />nationwide, the potential benefits and disadvantages of such technology to the Cable <br />System and its Subscribers, and any plan and approximate timetable for instituting any <br />such advances in technology. The Franchisee shall further cooperate with the City in good <br />faith to provide additional information as might be requested by the City. To the extent <br />permitted by law, any proprietary material contained in such report shall be protected from <br />disclosure to competitors. The Franchisee will provide this report within thirty (30) days <br />after the request has been made by the City. <br /> <br /> (3) At least sixty (60) days prior to the date scheduled for the meeting, the <br />City shall notify the Franchisee of the date, time and location of the review as well as the <br />specific subjects the City desires the Franchise to address during the meeting.
