<br /> Request for Bids. The City of University City, Missouri (the "City"), will receive bids, either (i)
<br />mailed or delivered in person to the office of Gilmore & Bell, P.C., the City's Special Tax Counsel, as
<br />shown below, (ii) subn~dtted electronically via PARITY®, (iii) submitted by telephone to the City's
<br />Special Tax Counsel at (314) 436-1000 or (iv) submitted by facsimile transmission to the City's Special
<br />Tax Counsel at (314) 436-1166 (each as more fully described below), for the purchase of the City's
<br />$5,900,000* principal amount of Certificates of Participation (City of University City, Missouri, Lessee),
<br />Series 2004 (the "Certificates"), on an all or none basis at the following time and place:

<br />All bids will be publicity opened, read and evaluated at said time and place, and the award of the
<br />Certificates will be acted: upon at a meeting of the City Council to be held at 7:30 p.m., Central Time, on
<br />June 21, 2004.

<br /> Terms of the Certificates. Each of the Certificates represents the Interest Component and
<br />Principal Component of Base Rentals payable pursuant to an annually renewable Lease/Purchase
<br />Agreement dated as of November 1, 2003 (the "Original Lease"), as amended and supplemented by a
<br />First Supplemental Leas,:/Purchase Agreement dated as of July 1, 2004 (the "First Supplemental Lease"
<br />and together with the Original Lease, the "Lease") between BNY Trust Company of Missouri, St. Louis,
<br />Missouri (the "Trustee"), as lessor, and the City, as lessee. The Certificates will consist of fully registered
<br />certificates without coupons in the denomination of $5,000 or any integral multiple thereof. The
<br />Certificates will be dated, as of July 1, 2004, and the Principal Component of Base Rentals represented by
<br />the Certificates will be p:~yable on February 1 in the years as follows:
