that the City and the City's Special Tax Counsel do not assume any liability or responsibility for <br />any inscribing or transmittal error in connection with such bid; or <br /> <br />(iv) be submitted by facsimile transmission to the City's Special Tax Counsel at (314) 436- <br />1000, prior to 11:00 a.m., Central Time, on June 21, 2004. The risk of a failure to access the <br />facsimile number prior to the indicated sale time is solely upon the party making the facsimile <br />proposal and not the City or the City's Special Tax Counsel. Any bidder submitting a bid by <br />facsimile in the manner described above acknowldges that the City and the City's Special Tax <br />Counsel do not assume any liability or responsibility for any transmittal error in connection with <br />such bid. <br /> <br /> Bidders wishing to call or fax in a bid as described in (iii) or (iv) above should submit the <br />bidding documents and/or Deposit to Mr. Robert Ballsrud, Special Tax Counsel, at the address given <br />above in time to be received prior to the sale time. <br /> <br /> Preliminary Official Statement and Official Statement. The City has prepared a Preliminary <br />Official Statement, copies of which may be obtained from the City. Upon the sale of the Certificates, the <br />City will adopt the final Official Statement and will furnish the successful bidder with up to 200 copies <br />of such Official Statement within seven business days of the acceptance of the successful bidder's <br />proposal in order to comply with Rule 15c2-12(b)(4) of the Securities and Exchange Commission and <br />Rule G-32 of the Municipal Securities Rulemaking Board. The City's acceptance of the successful <br />bidder's proposal for the purchase of the Certificates shall constitute a contract between the City and the <br />successful bidder for purposes of said Rules. Additional copies of the final Official Statement may be <br />ordered by the successful bidder at its expense. <br /> <br /> Continuing Disclosure Undertaking. The City will agree in the Ordinance authorizing the <br />Certificates (the "Certificate Ordinance") to enter into a Amended and Restated Continuing Disclosure <br />Agreement with BNY Trust Company of Missouri, as Dissemination Agent, under which the City will <br />agree to provide or cause to be provided, in accordance with the requirements of Rule 15c2-12 <br />promulgated by the Securities and Exchange Commission (the "Rule") and as described in greater detail <br />in the Preliminary Official Statement under the caption "APPENDIX C- DEFINITIONS OF WORDS <br />AND TERMS AND SUMMARIES OF LEGAL DOCUMENTS" (i) certain annual financial information <br />and operating data, including audited financial statements for the preceding fiscal year, to all Nationally <br />Recognized Municipal Securities Information Repositories ("NRMSIRs") and the State Repository <br />designated by the State of Missouri, if any, (ii) to all NRMSIRs or the Municipal Securities Rulemaking <br />Board timely notice of the occurrence of certain material events with respect to the Certificates, and <br />(iii) to all NRMSIRs or the Municipal Securities Rulemaking Board timely notice of a failure by the City <br />to provide the required annual financial information on or before the date specified below. Such <br />information shall be made available not later than 180 days after the end of each fiscal year of the City, <br />commencing with the fiscal year ending June 30, 2004. <br /> <br /> The successful bidder's obligation to purchase the Certificates shall be conditioned upon its <br />receiving, at or prior to the delivery of the Certificates, the Amended and Restated Continuing Disclosure <br />Agreement evidencing that the City has made the continuing disclosure undertaking set forth above for <br />the benefit of the holders of the Certificates. <br /> <br /> Additional Information.
