interlineation certain provisions of the Original Indenture in order to provide for the modification of certain <br /> payment terms with respect to the Bonds, all as further described herein; and <br /> WHEREAS, the Company has requested that the Issuer, and the Issuer and the Company desire <br /> to, enter into the herein defined Second Supplemental Lease Agreement amending and supplementing <br /> by interlineation certain provisions of the Original Lease in order to provide for the modification of certain <br /> payment terms with respect to the Bonds, all as further described herein. <br /> NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF UNIVERSITY <br /> CITY, MISSOURI, AS FOLLOWS: <br /> Section 1. Authorization of Documents. The Issuer is hereby authorized to enter into the <br /> following documents (the"Issuer Documents"), in substantially the forms presented to the City Council of <br /> the Issuer at this meeting (copies of which shall be filed in the official records of the Issuer), with such <br /> changes therein as shall be approved by the officers of the Issuer executing such documents, such <br /> officers' signatures thereon being conclusive evidence of their approval thereof: <br /> (a) Second Supplemental Trust Indenture by and between the Issuer and the <br /> Trustee (the "Second Supplemental Indenture") in substantially the form <br /> attached hereto as Exhibit A, and <br /> (b) Second Supplemental Lease Agreement by and between the Issuer and the <br /> Company (the "Second Supplemental Lease Agreement') in substantially the <br /> form attached hereto as Exhibit B. <br /> Section 2. Execution of Documents. The Mayor and/or City Manager of the Issuer is <br /> hereby authorized and directed to execute and deliver the Issuer Documents for and on behalf of and as <br /> the act and deed of the Issuer. The City Clerk of the Issuer is hereby authorized and directed to attest to <br /> such Issuer Documents, and other documents, certificates, and instruments as may be necessary or <br /> desirable to carry out and comply with the intent of this Ordinance. <br /> Section 3. Further Authority. The Issuer shall, and the officials, agents, and employees of <br /> the Issuer are hereby authorized and directed to, take such further action and execute and deliver such <br /> other documents, certificates, and instruments as may be necessary or desirable to carry out and comply <br /> with the intent of this Ordinance, and to carry out, comply with, and perform the duties of the Issuer under <br /> or with respect to the Issuer Documents. <br /> Section 4. Severability. The sections, paragraphs, sentences, clauses, and phrases of this <br /> Ordinance are severable, and if any section, paragraph, sentence, clause, or phrase of this Ordinance be <br /> declared unconstitutional, ultra vires, or void for any reason by a decree or judgment of a court of <br /> competent jurisdiction, such judgment or decree shall not affect any of the remaining sections, <br /> paragraphs, sentences, clauses, or phrases of this Ordinance. <br /> Section 5. Effective Date. This Ordinance shall take effect and be in force from and after its <br /> passage as provided by law. <br /> x <br /> } <br />} <br />
