<br />AMENDED LEASE <br /> <br />THIS AMENDED LEASE <br /> (“Lease”) is made and entered into in this ____ day of September, <br />CITY OF UNIVERSITY CITY <br />2007, by and between the , a Missouri Municipal Corporation <br />LessorFRIENDS OF THE GREEN CENTER <br />(hereinafter “”), and , a Missouri not for profit <br />Lessee <br />corporation (hereinafter””) amends and restates the Lease entered between the parties on <br />September 1, 1998 (“Original Lease”). <br /> <br />WHEREAS, <br />Lessor is the owner of 8025 Blackberry Avenue, which is located in Kaufman <br />City <br />Park in the City of University City (the “”) and which is improved with a two story house and <br />Buildings <br />detached garage (the “”) and other improvements; and <br /> <br />WHEREAS <br />, Lessee is a not-for-profit organization formed for charitable purposes, including <br />education of the public about the inspiration nature provides for humans, and about achieving a <br />sustainable human habitat. <br /> <br />WHEREAS <br />, Lessee is desirous of leasing the Buildings and improvements and the land <br />Premises <br />surrounding the Buildings (collectively the “”) with the intention of rehabbing the Premises and <br />making additional improvements to the surrounding area to create a natural laboratory and cultural <br />Intended Use <br />gathering place to educate people about the environment (“”). <br /> <br />WHEREAS, <br /> Lessor is desirous of leasing the Premises to Lessee for said purposes, to the <br />Charter <br />extent allowed by University City Charter (the “”) Sections 98 and 101. <br /> <br />th <br />WHEREAS, <br />the City Council of Lessor, has approved this Lease by consent on 24 of <br />September 2007. <br /> <br />NOW THEREFORE, <br /> <br /> <br />. LEASE. <br />1Lessor hereby leases to Lessee and Lessee hereby leases from Lessor the Premises <br />as further described herein. <br /> <br />. PREMISES. Premises” <br />2 The “shall consist of the Buildings, and related improvements <br />appurtenant thereto, and the land contiguous thereto as more particularly shown on Exhibit A and <br />described on Exhibit B. Lessee acknowledges that Lessor has made no representation or warranty to <br />Lessee regarding the condition of the Premises or the suitability of the Premises for Lessee’s Intended <br />Use. Accordingly, Lessee hereby agrees to accept the Premises in an “as is” condition. <br /> <br /> <br /> <br /> SIGNAGE <br />3.. Lessee shall not erect, affix or display any signage without the prior <br />written approval of Lessor, which may be withheld in the Lessor’s sole discretion. Lessee <br />shall maintain all signage in good condition and repair. All signage shall comply with <br />applicable ordinances and other governmental restrictions, and the determination of such <br />requirements and the prompt compliance therewith shall be the responsibility of Lessee. All <br />signage costs and expenses shall be the sole responsibility of Lessee. At the expiration of the <br />term of this Lease, Lessee shall remove its signage from the Premises and repair all damage <br />caused by the removal. Lessee agrees to provide signage identifying the location of Lessee <br />in Kaufman Park, subject to said approval of Lessor. <br /> <br />H-5-b <br />September 24, 2007 <br /> <br />
