<br /> <br />MINUTES OF UNIVERSITY CITY COUNCIL <br />STUDY SESSION <br />January 15, 2008 <br /> <br /> <br />The Council Study Session, held in the Chambers of the City Hall, on Monday, January 15, <br />2008, was called to order by Mayor Adams at 5:30 p.m. In addition to Mayor Adams, the <br />following members of the Council were present: <br /> Mr. Arthur Sharpe, Jr. <br /> Mr. Michael Glickert <br /> Mr. Robert Wagner <br /> Ms. Stefany Brot <br /> Ms. Lynn Ricci <br /> Mr. Byron Price <br />Also present were City Manager Julie Feier, the Director of Finance Janet Watson, the <br />Assistant to the City Manger, Petree Eastman, and legal Counsel John Mulligan. <br /> <br />The Study Session agenda was planned by Ms. Ricci for the discussion of what is conflict <br />of interest for the Council. The agenda discussion consisted of <br />1. What is a conflict of interest? <br />2. Under Missouri law, what obligations do Councilmembers have when there is a real <br />or apparent conflict of interest? <br />3. What does our current City Ordinance provide and can be improved to increase <br />Council’s integrity and citizen confidence in Council decisions? <br />4. Suggestions for change <br /> <br />Ms. Ricci suggested that Council reveal any organizations they held a leadership position <br />and file this with the City Clerk. She said it could be accomplished in one of two ways. <br />The ordinance on file could be amended or the Council Rules and Regulations could be <br />changed to include it. Ms. Ricci felt University City’s present ordinance covered the <br />pecuniary aspect as it would relate to a member of the Council but did not address the <br />fiduciary duties of the Council. She felt that the public should be aware of the offices held <br />by the Council on profit and on not-for-profit organizations. Ms. Ricci said that it is what is <br />perceived to be a conflict that should be made public and the Council could then decide if <br />that member should recuse themself from voting. She said that a perceived conflict gives <br />way to a lack of impartiality and could be questioned if the decision was for a particular <br />organization’s benefit. Ms. Ricci said that disclosure is a way to battle conflict of interest <br />matters. <br /> <br />Ms. Brot felt that it might restrict the Council from belonging to any city related <br />organizations. <br /> <br />Mr. Price was not in favor of disclosing any organizations he belonged to. <br /> <br />Ms. Ricci stated that she was talking about being on a leadership position in an <br />organization. <br /> <br />Mayor Adams stated that it would stifle members of Council from being involved in the <br />community. <br /> <br /> <br />
