The Certificate of Substantial <br />Exhibit E <br />Completion shall be in substantially the form attached as hereto and incorporated by reference <br />herein. <br />ARTICLE IV{ TC \n \l1 “ARTICLE IV” } <br />REIMBURSEMENT OF DEVELOPER COSTS{ TC \n \l1 “REIMBURSEMENT OF <br />DEVELOPER COSTS” } <br />4.1 City’s Obligation to Reimburse Developer{ <br /> TC "4.1 City’s Obligation to Reimburse <br />}. <br />Developer." \f C \l "3" <br />4.1.1 Reimbursement. <br />The City agrees to reimburse the Developer for the verified <br />Exhibit D <br />Reimbursable Redevelopment Project Costs in the amounts and as set forth on through <br />the issuance of separate series of TIF Notes for the RPA-1 Redevelopment Project and the RPA-2 <br />Redevelopment Project (if the RPA-2 Redevelopment Project is approved by the City) in amounts <br />not exceeding the respective Maximum Reimbursement Amounts. The TIF Notes shall evidence <br />the City’s obligation to reimburse the Developer for such verified Reimbursable Redevelopment <br />Project Costs. The City hereby pledges, subject to annual appropriation to the extent required by <br />law, the TIF Revenues generated within RPA-1 and, following approval of the RPA-2 <br />Redevelopment Project, RPA-2 to the repayment of the TIF Notes. <br />4.1.2Note Information. <br />Immediately prior to the issuance of TIF Notes associated <br />with either the RPA-1 Redevelopment Project or the RPA-2 Redevelopment Project under <br />Section 5.1 <br />, the Developer shall provide the following information to the City: <br />(a) the most current project budget for the RPA-1 Redevelopment Project or <br />the RPA-2 Redevelopment Project, as applicable; and <br />(b) verifiable evidence showing that the Developer has acquired all of the <br />Property or has expended at least $250,000 in hard construction costs toward the <br />completion of the Work associated with either the RPA-1 Redevelopment Project or the <br />RPA-2 Redevelopment Project, as applicable. <br /> 4.1.3 Issuance. <br />Promptly upon receipt of such information, subject to the provisions <br />Section 5.1 <br />of,the City shall issue the TIF Notes in an amount equal to the applicable Maximum <br />Section 4.1.4 <br />Reimbursement Amount (subject to reduction as provided in ). <br />4.1.4 Final Certified Amount. <br />(a) Within 90 days from the City’s acceptance or deemed acceptance of a Certificate <br />of Substantial Completion for either of the RPA-1 Redevelopment Project or the RPA-2 <br />Redevelopment Project, as applicable, the Developer will provide the City with (a) the most <br />current project budget, including actual Project Costs incurred and (b) such other documentation <br />as the City shall reasonably require of the Developer in order to verify the actual Project Costs <br />incurred. If the City does not provide a written challenge to any of the actual Project Costs <br />submitted by the Developer within 45 days of the receipt of the current project budget, such <br />actual Project Costs shall be deemed verified for purposes of calculating the Final Certified <br />Amount. The City may retain such consultants as it deems necessary in connection with such <br /> <br />
