RESOLUTION AUTHORIZING THE AMENDMENTS OF THE ARTICLES OF INCORPORATION OF THE INDUSTRIAL DEVELOPMENT AUTHORITY OF THE CITY OF UNIVERSITY CITY, MISSOURI, AND DETERMINING AND APPROVING CERTAIN MATTERS RELATED THERETO. WHEREAS, the members of the Board of Directors of the Industrial Development Authority of the City of University City, Missouri have filed with the governing body of the City pursuant to Chapter 349 of the Revised Statutes of Missouri (the Industrial Development Corporation Act"), an Application Seeking Pei-mission to Amend the Articles of Incorporation of said Industrial Development Authority for the purpose of bringing said Articles into conformance with recent amendments to the Industrial Develop- ment Corporations Act, a copy of the Application (including the form of the proposed amendments) being attached hereto and marked Exhibit A; and WHEREAS, after review and discussion of said Application and form of the proposed amendments it has been found and determined that it is wise, expedient, necessary and advisable that said proposed amendment be made; any WHEREAS, since the Industrial Development Corporation Act requires that the governing body of the City of University City, Missouri, take certain actions with respect to the amendments to the Articles of Incor- poration of the Industrial Development Authority, it is necessary and advisable to adopt this Resolution; NOW THEREFORE, BE IT RESOLVED BY THE GOVERNING BODY OF THE CITY OF UNIVERSITY CITY, MISSOURI, AS FOLLOWS: Section 1. Findings and Determinations. The governing body of the City o University City, Missouri hereby finds and determines that it is wise, expedient, necessary and advisable that the proposed Amendments to the Articles of Incorporation of the Industrial Development Authority of the City of University City, Missouri, be made. Section 2. Approval of Application and form of the proposed amend- ments. The Application an form o amendments to the Articles o Incor- poration of the Industrial Development Authority of the City of University City, Missouri, are hereby approved, and the Board of Directors of said Industrial Development Authority is hereby authorized and directed to make the proposed amendments by subscribing, acknowledging and filing an appropriate certificate of amendment with the Secretary of State of Missouri. Section 3. Captions. The captions and headings of the sections of ~f this Resolution are for convenience only and are not to be used to interpret or define the provisions hereof. Section 4. This Resolution shall take effect immediately upon its passage by the governing body of the City of University City, Missouri.
