construction of the Work up to a maximum aggregate amount of Two <br />Million Five Hundred Fifty One Thousand Five Hundred Dollars <br />($2,551,500.00) exclusive of Issuance Costs, interest on TIF <br />Notes, and any amounts reimbursable to Developer pursuant to <br />section 7.14 of this Agreement. <br /> <br />4.2 Reserved. <br /> <br /> 4.3 Reimbursements Limited to Eligible Redevelopment <br />Project Costs. Nothing in this Agreement shall obligate the City <br />to pay or to reimburse Developer for any cost that is not <br />incurred pursuant to Section 99.820.1 of the TIF Act or that does <br />not qualify as a "redevelopment project cost" under Section <br />99.805(11) of the TIF Act, and Developer shall, at the City's <br />request, provide itemized invoices, receipts or other <br />information, if any, requested by the City to confirm that any <br />such cost is so incurred and does so qualify. The parties agree <br />that each of the categories of costs set forth in Exhibit G <br />attached to and incorporated by reference in this Agreement <br />constitute Eligible Redevelopment Project Costs which are <br />eligible for reimbursement in accordance with the TIF Act and <br />this Agreement and that the total costs for each of the following <br />categories "A. Predevelopment Fees", "B. Development Services and <br />Fees" and "C. Site Improvement", as set forth in Exhibit G, are <br />the maximum aggregate amount of eligible costs for the items <br />contained in said categories. <br /> <br /> 4.4 City's Obligations Limited to Special Allocation Fund. <br />Notwithstanding any other term or provision of this Agreement, <br />the City's obligations hereunder to repay Developer for Eligible <br />Redevelopment Project Costs are payable only from the Special <br />Allocation Fund during the term of this agreement and from no <br />other source. So long as the amount of any Annual Deficiency on <br />a TIF Note is carried as a liability on the Special Allocation <br />Fund's financial records, the existence of such Annual Deficiency <br />shall not be deemed an event of default under such Note. <br /> <br />ARTICLE V. TIF NOTES <br /> <br /> 5.1 Issuance of TIF Notes. The City shall utilize its <br />powers under the TIF Act and under such other authority provided <br />pursuant to Missouri law to issue the TIF Notes as provided in <br />this Article for the reimbursement of Eligible Redevelopment <br />Project Costs incurred by Developer up to a maximum aggregate <br />principal amount of Two Million Five Hundred Fifty One Thousand <br />Five Hundred Dollars ($2,551,500.00), including Issuance Costs. <br />Any TIF Notes may be canceled by the City upon termination of <br />this Agreement pursuant to paragraphs 7.1 or 7.2 hereof. Any TIF <br />Note may be prepaid at any time in whole or in part without <br />penalty or premium.
