Exhibit A <br /> <br /> AGREEMENT SUPPLEMENTING <br /> APPLICATION FOR FRANCHISE <br />AUTHORITY CONSENT TO TRANSFER OF <br />CONTROL OF CABLE TELEVISION FRANCHISE <br /> <br /> COME NOW TCI Cable Partners of St. Louis, L.P., a Colorado limited pannership <br />("TCICP"), AT&T Corp., a New York corporation and Heritage Communications, Inc., an Iowa <br />corporation ("Heritage") (collectively "the companies"), and supplementing the FCC 394 Application <br />for Franchise Authority Consent to Transfer of Control of Cable Television Franchise submitted to <br />the City of University City, Missouri, in order to induce the City to provide the requested consent to <br />the transfer control of the cable television franchise holder from TCI to AT&T, agree as follows: <br /> <br /> 1. The companies confirm that the City has until January 27, 1999, to grant or deny <br />consent to the franchise transfer under 47 USC {3537. <br /> <br /> 2. TC1CP and Heritage represent and warrant that TCICP will continue to perform all <br />of the obligations under the franchise, and Heritage unconditionally guarantees such performance by <br />TCICP, and shall be jointly and severally liable with TCICP on such obligations. <br /> <br /> 3. The companies represent and warrant that the City's consent to transfer of control of <br />the franchise in no way affects the enforceability of the franchise according to its terms and <br />conditions, and does not affect the lawfulness of the provisions of the franchise or related City <br />regulations are unlawful, including but not limited to all provisions regarding location of cable system <br />operation offices, t?anchise fees, and Public, Educational, and Governmental (PEG) access. <br /> <br /> 4. TC,[CP and Heritage agree that on and after the date of closing of the franchise <br />transfer TCICP will at a minimum operate the cable system within the City at the same capacity and <br />with the same level and quality of service as is currently made available by TCICP in the City and as <br />required under the franchise. <br /> <br /> 5. AT&T hereby acknowledges and accepts the terms and conditions of the Franchise <br />in accordance with the applicable City Ordinances, subject to the understanding that this acceptance <br />is only as successor in interest of ultimate control of TCICP, and that this acceptance does not effect <br />a transfer of the Franchise to AT&T since the Franchise will continue to be held by TCICP. <br /> <br /> 6. The companies agree to an extension of the franchise expiration date to 11:59 p.m. <br />on December 23, 2000 and that an extension is needed to fully comply with the terms of the existing <br />franchise agreement. <br /> <br /> <br />
