records governing its operations in the City to determine gross receipts and to otherwise <br />document accurate payment of the compensation required under this Agreement. The City may <br />require the provision or retention of additional information, records, and documents as it deems <br />reasonably necessary or appropriate. NEXTLINK shall make suitable copying equipment <br />available to the City and shall bear the cost of such copying. <br /> <br /> 12. Confidentiality. Upon the reasonable request of NEXTLINK, to the extent <br />permitted by law, the City agrees to keep confidential any technical information specified by <br />NEXTLINK about NEXTLINK's Facilities and information provided by NEXTLINK relating to <br />NEXTLINK's policies, business operations or financial condition. In the event that the City is <br />required by applicable law, rule, regulation or lawful order or ruling of any court, government <br />agency or regulatory commission to disclose any such information, the City agrees that it will <br />provide NEXTLINK with prompt notice of such request(s) to enable NEXTLINK to seek an <br />appropriate protective order or to take steps to protect the confidentiality of such information. <br /> <br /> 13. Audit. The City shall have the right to audit and to recompute any amounts <br />determined to be payable under this Agreement. The City's audit expenses shall be paid by <br />NEXTLINK if the compensation paid during the audit period was less than 98% of the amount <br />owed according to the audit. <br /> <br /> 14. Indemnification. To the fullest extent permitted by law, NEXTLINK, shall <br />indemnify and hold harmless the City and its elected and appointed officials, its boards, <br />commissions, employees, agents, legal counsel, and contractors from any and all injury, claim, <br />demand, judgment, liability or damage arising out of or resulting from the Construction, <br />Maintenance, or Removal of the Facilities by NEXTLINK or its officers, boards, commissions, <br />employees, agents, legal counsel or contractors, regardless of whether the act or omission <br />complained of is authorized, allowed or prohibited under this Agreement. The indemnification <br />hereunder includes but is not limited to the City's reasonable attorneys' fees incurred in defending <br />against any such claim, suit or proceeding prior to NEXTLINK assuming the defense. Any party <br />seeking indemnification hereunder Clndemnitee") shall promptly notify NEXTLINK of the nature <br />and amount of such claim and the method and means proposed by the Indemnitee for defending <br />and satisfying such claim. The Indemnitee shall consult with NEXTLINK respecting the defense <br />and satisfaction of such claim, including the selection of and directions to legal counsel, and the <br />Indemnitee shall not pay or settle any such claim without the prior written consent of the <br />Indemnitor, which consent shall not be unreasonably withheld. <br /> <br /> 15. Insurance. NEXTLINK and any contractor hired by NEXTLINK to install, <br />maintain, improve, restore or remove the Facilities within the City right-of-way shall not <br /> <br />-7- <br /> <br /> <br />
