Prior Franchise. <br /> <br /> (b) Favored Nations: Franchisee commits to provide the same number of <br />analog channels through its basic and expanded service to City residents as are provided <br />to customers in the City of Clayton upon completion of the system upgrade, except as may <br />otherwise be approved by the City. <br /> <br /> (c) System Upgrade: <br /> (1) No later than December 31,2003, the Franchisee shall upgrade its <br />Cable System. The System shall have a rating of at least 750 Mhz on all active <br />components and a capacity of at least 80 6-Mhz analog channels downstream to all <br />subscribers. <br /> <br /> (2) Upon completion of such upgrade, the capability must exist for <br />Subscribers to be able to block out audio and video at least on all premium and pay-per- <br />view channels, and video on all channels. <br /> <br /> (3) In addition to the foregoing, the upgraded Cable System shall meet or <br />exceed the requirements of Subsection 5(a) hereof, to the extent such requirements apply <br />to the upgraded Cable System and are consistent with the technical standards and <br />specifications as determined under FCC rules and regulations and shall also meet all FCC <br />technical standards and specifications. <br /> <br /> (4) In all construction, franchisee shall faithfully observe any of City's <br />requirements regarding underground lines and shall use existing Telecommunications <br />Facilities in the City where reasonably available instead of disrupting City right-of-way with <br />additional construction. <br /> <br /> (d) Interconnection: <br /> The Franchisee's Cable System shall remain interconnected with other <br />systems operated in St. Louis County and the greater St. Louis Metropolitan area, at least <br />to the extent such interconnection was in place on the last day of the Prior Franchise, and <br />to the extent other cable operators agree to continue interconnection on such terms as <br />were in place on the last day of the Prior Franchise. The Franchisee shall pursue any <br />additional interconnection requests from the City pursuant to the requirements of the Cable <br />Ordinance, provided however that such request have been properly approved and <br />processed through any and all interconnection corporations and regional interconnection <br />authorities established to administer such request. The Franchisee shall cooperate on a <br />reasonable basis with any interconnection corporation, regional interconneotion authority or <br />city, county, state or federal regulatory agency which may be hereafter established for the <br /> <br /> <br />
