CABLE TELEVISION FRANCHISE AGREEMENT On this 26th day of August, 2002, this CABLE TELEVISION FRANCHISE AGREEMENT (the "Franchise Agreement") is entered into by and between the City of University City Missouri ("City"), a municipal corporation, and Charter Communications Entertainment I, LLC d/b/a Charter Communications, a Delaware limited liability company, ("Charter") and its ultimate owner Charter Communications Holding Co., LLC, a Delaware limited liability company ("CCH"). WHEREAS, Charter has applied to the City for renewal of its nonexclusive franchise, previously granted to Continental Cablevision, (the "Prior Franchise") to provide cable television service in the City in the name of Charter; and WHEREAS, the City has reviewed performance under the Prior Franchise, has identified the future cable-related needs and interests of the community, has considered the financial, technical-and legal-qualificati~s~f Charter,-"~nd~s-~onsid~redCharter's WHEREAS, the City has relied on the representations of Charter and CCH and has considered the information that Charter and CCH has presented to it; and WHEREAS, after adequate public notice and a hearing, based on Charter's representations and information, and in response to the application for renewal, the City -Council of University City has determined that, subject to the provisions of the Cable Communications Regulatory Code of the City of University City (the "Cable Ordinance"), and the terms and conditions set forth herein, the grant of a new nonexclusive franchise to Charter, to supersede the Prior Franchise, is consistent with the public interest, and has therefore enacted Ordinance No. 6386 more than thirty (30) days after the filing of Charter's application for renewal; and WHEREAS, the City and Charter and CCH have reached agreement on the terms and conditions set forth; NOW, THEREFORE, in consideration of the City's grant of a new franchise to Charter and Charter's promise to provide Cable Service to residents of the City pursuant to .and consistent with the Cable Ordinance, the terms and conditions set forth herein, the promises and undertakings herein, and other good and valuable consideration, the receipt and the adequacy of which is hereby acknowledged, the signatories do hereby agree as follows:
