CABLE TELEVISION FRANCHISE AGREEMENT <br /> <br /> On this 26th day of August, 2002, this CABLE TELEVISION FRANCHISE <br />AGREEMENT (the "Franchise Agreement") is entered into by and between the City of <br />University City Missouri ("City"), a municipal corporation, and Charter Communications <br />Entertainment I, LLC d/b/a Charter Communications, a Delaware limited liability company, <br />("Charter") and its ultimate owner Charter Communications Holding Co., LLC, a Delaware <br />limited liability company ("CCH"). <br /> <br /> WHEREAS, Charter has applied to the City for renewal of its nonexclusive <br />franchise, previously granted to Continental Cablevision, (the "Prior Franchise") to provide <br />cable television service in the City in the name of Charter; and <br /> <br /> WHEREAS, the City has reviewed performance under the Prior Franchise, has <br />identified the future cable-related needs and interests of the community, has considered <br />the financial, technical-and legal-qualificati~s~f Charter,-"~nd~s-~onsid~redCharter's <br /> <br /> WHEREAS, the City has relied on the representations of Charter and CCH and has <br />considered the information that Charter and CCH has presented to it; and <br /> <br />WHEREAS, after adequate public notice and a hearing, based on Charter's <br />representations and information, and in response to the application for renewal, the City <br />-Council of University City has determined that, subject to the provisions of the Cable <br />Communications Regulatory Code of the City of University City (the "Cable Ordinance"), <br />and the terms and conditions set forth herein, the grant of a new nonexclusive franchise to <br />Charter, to supersede the Prior Franchise, is consistent with the public interest, and has <br />therefore enacted Ordinance No. 6386 more than thirty (30) days after the filing of <br />Charter's application for renewal; and <br /> <br /> WHEREAS, the City and Charter and CCH have reached agreement on the terms <br />and conditions set forth; <br /> <br /> NOW, THEREFORE, in consideration of the City's grant of a new franchise to <br />Charter and Charter's promise to provide Cable Service to residents of the City pursuant to <br />.and consistent with the Cable Ordinance, the terms and conditions set forth herein, the <br />promises and undertakings herein, and other good and valuable consideration, the receipt <br />and the adequacy of which is hereby acknowledged, the signatories do hereby agree as <br />follows: <br /> <br /> <br />
