1. Definitions. <br /> Except as otherwise provided herein, the definitions and word usage set forth in <br />Section 2 of the Cable Ordinance are incorporated herein and shall apply in this Franchise <br />Agreement. In addition, the following definitions shall apply: <br /> <br /> (a) Cable Ordinance: <br /> Ordinance No. 6245, as it may be amended from time to time; provided, <br />however, that any such amendment shall not impair the rights granted to, or increase the <br />obligations of, the Franchisee under this Agreement, except as may otherwise be allowed <br />pursuant to Section 2(f) hereof. <br /> <br />Franchise Agreement or Agreement: <br />This contract and any amendments, exhibits or appendices hereto. <br /> <br />:: ~ -charte~ C°mrnuni~tiSn~ .... ~nterta. in~nt I,:~:ELC ..... cl~bia ..... ~hart~:~ ............. <br />Communications. a Delaware limited liability company. <br /> <br />company. <br /> <br />Guarantor: <br />Charter Communications Holding Co., LLC, <br /> <br />a Delaware limited liability <br /> <br />2. Grant of Authority; Limits and Reservations. <br /> <br />(a) Grant of Authority: <br /> <br /> The Franchise issued to the Franchisee is subject to the terms and conditions of this <br />Franchise Agreement and to the provisions of the Cable Ordinance. The Franchise grants <br />the Franchisee the right to construct, operate and maintain a Cable System along the <br />Public Rights-of-Way within the Franchise Area, for the purpose of providing Cable <br />Service. The Franchisee may utilize its Cable System to provide other communications <br />services so long as it complies with all State & City requirements applicable to such service <br />providers, including the payment of any applicable franchise or license fee. No privilege or <br />power of eminent domain is bestowed by this grant; nor is such a privilege or power <br />bestowed by this Agreement. This Agreement does not confer any rights other than as <br />expressly provided herein or as mandated by federal, state or local law. <br /> <br />2 <br /> <br /> <br />
