THOMPSON
Thompson Coburn LLP

COBURN

Memorandum

To:

City Clerk
City of University City, Missouri

From: Steve Mitchell

Date:

Re:

November 3, 2003

University City - Winco Redevelopment Bond Issue[

In connection with the closing of the above-referenced matter, I will need certified copies of several
actions of the City Council taken with respect thereto, specifically:

1. Signed and certified copy of the preliminary resolution adopted by the City Council on August
18, 2003 with respect to the Winco project (copy attached)
2. Certified minutes (or excerpt thereof) of such August 18, 2003 meeting.
3. Certified copy of the approving ordinance adopted by the City Council on November 3, 2003
with respect to the Winco project (copy attached).
4. Certified minutes (or excerpt thereof) of such November 3, 2003 meeting (form of minutes
excerpt attached).

In each case with respect to the minutes, you may provide the minutes excerpt with the blanks filled in by
hand or more formally typed in as you prefer. Either way is acceptable. If you would prefer to provide
complete minutes that is fine, too, if they can be provided in time for closing.

The requested documents may either be given to your counsel for forwarding to me, included with the
other documents that we will arrange with your counsel to have the City sign in advance of closing and be
sent back to me, or sent separately as soon as they are available. In any event, they should be returned to
me at the following address:

Steven B. Mitchell
Thompson Cobum LLP
One U.S. Bank Plaza, Suite 3500
St. Louis, Missouri 63101
Phone: 314-552-6178
Fax: 314-552-7000
E-Mail: smitchell@thompsoncoburn.com

The issue is currently expected to closing on November 20, 2003, and I will need the documents back in
my hands at least 3 days in advance thereof.

Also enclosed for filing in the official records of the City are copies of each of the documents that are
referred to in the approving ordinance as having been filed in the records of the City.

Thank you for your assistance in this matter. If you have any questions, please call.

CC: David Richardson, Esq.

2209297
