Mitchell Date: November 14, 2003 Re: Execution of City Documents - Winco Redevelopment Project, Series 2003 Bonds Enclosed for execution by the City are the various documents to be executed by the City in connection with the proposed bond issue. Most of the documents have been set up to allow for execution by the City Manager along with the City Clerk, as requested by your counsel. However, them are two documents that must be signed by the Mayor - the actual bond and the Chief Elected Official's Approval. Several of these documents will also need to be notarized. The following checklist should help you in having the documents executed: Mayor City Mgr. City Clerk Notary 1. Trust Indenture 2. Memorandum of Indenture 3. Lease Agreement 4. Memorandum of Lease Agreement 5. Performance Agreement 6. Project Exemption Certificate (Ex. D to Perf. Agmt.) 7. Underwriting Agreement 8. Arbitrage Letter of Instructions 9. Bond (to be sent directly to Trustee) 10. Issuer's Closing Certificate 11. IRS Form 8038 12. Certificate of Approval of Mayor 13. Dept. of Econ. Dev. Activity Report 14. Non-Arbitrage Certificate 15. Small Issue Manufacturing Bond Certificate -- [] [] -- -- [] [] ElO [] [] -- -- [] [] InCI -- [] [] -- In addition, please provide three (3) signed and certified originals of (1) [~inducement Resolution adopted by the City Council on August 18, 2003, (2) ~ Excerpt of Minutes with respect to such Resolution in the form provided to you e)rlier, (3) ~he approving Ordinance adopted by the City Council on November 3, 2003, and (4) II/'an Excerpt of Minutes with respect to such Ordinance in the form provided to you earlier. Also, Jeannie Geers of Husch & Eppenberger LLC, counsel to the City in this matter, is supposed to provide you with execution copies of the Redevelopment Plan approved by the City on N~0_ovf~ber 3, 2003. Please provide me with at least two (2) originally executed copies of the executed I~Redevelopment Plan, which I will have signed by Winco when they come to our offices to sign documents. Please also apply the City's seal where noted on various of the documents. I have enclosed for each document to be signed a stack of just signature pages, all of which should be signed. I am distributing today by electronic mail complete revised copies of all of the above-referenced documents to the entire working group, including David Richardson and Jeannie Geers.
