All references herein to the Base Lease, the Lease and the Indenture are qualified in their entirety by reference to such documents, drafts of which may be viewed prior to the delivery of the Series 2004 Certificates at the office of the Director of Finance of the City. Copies of the final executed documents may be viewed after the delivery of the Series 2004 Certificates at the office of the Trustee, BNY Trust Company of Missouri, Corporate Trust Department, 911 Washington Avenue, 3rd Floor, St. Louis, Missouri 63101, or will be provided to any prospective purchaser requesting the same, upon payment by such prospective purchaser of the cost of complying with such request. All references to the Series 2004 Certificates are qualified in their entirety by the definitive terms thereof and the information with respect thereto included in the Base Lease, the Lease and the Indenture. THE SERIES 2004 CERTIFICATES Description The Series 2004 Certificates are dated July 1, 2004, and the Principal Component of Base Rentals represented by each Series 2004 Certificate will bear interest at specified rates as set forth on the inside cover page hereof. The Interest Component of Base Rentals represented by the Series 2004 Certificates will be payable semiannually on February 1 and August 1 of each year beginning on February 1, 2005 (the "Payment Dates"). The Principal Component of Base Rentals represented by the Series 2004 Certificates is payable on February 1 of each year in the principal amounts set forth on the inside cover page of this Official Statement. The Interest Component represented by the Series 2004 Certificates is payable by (a) by check or draft mailed by the Trustee to the address of such Registered Owners shown on the registration books for the Series 2004 Certificates (the "Register"), or (b) in the case of an interest payment to any Registered Owner of $500,000 or more in aggregate principal amount of Series 2004 Certificates, by electronic transfer to such Registered Owner upon written notice given to the Trustee by such Registered Owner, not less than 15 days prior to the Record Date for such interest, containing the electronic transfer instructions including the name of the bank (which shall be in the continental United States), the bank's ABA routing number and the account number to which such Registered Owner wishes to have such transfer directed. The Principal Component of Base Rentals and prepayment premium, if any, represented by the Series 2004 Certificates is payable upon presentation and surrender thereof at the principal corporate trust office of the Trustee or at such other office as is designated by the Trustee. Book-Entry Only System The Depository Trust Company ("DTC"), New York, New York, will act as securities depository for the Series 2004 Certificates. The Series 2004 Certificates will be issued as fully-registered securities registered in the name of Cede & Co. (DTC's partnership nominee) or such other name as may be requested by an authorized representative of DTC. One fully-registered certificate will be issued for each maturity of the Series 2004 Certificates, in the aggregate principal amount of such maturity, and will be deposited with DTC. -4-
