2. Ms.Welsch said that a city inspection had been made in May
2007, but she understands that a re-inspection should be
completed before the lease is approved.

Comment: Mr.Walker responded that the re-inspection would be
made by Monday, March 17, 2008 at the latest. After that City staff
could meet with SMS to define work tasks, and to discuss the
estimated funding required to begin each task, and agree on a
preliminary work schedule. Any work anticipated should be
presented to the Historical Preservation Commission (HPC) for
comment.

Ms. Welsch replied that Kathy Straatmann, Jen Jensen, and
herself would represent SMS in those meetings. She agreed that it
is understood that proposed changes to the house would be
subject to HPC oversight.

3. Ms.Welsch stated that SMS requests full access to the house,
as previously agreed by City Manager Feier.

Comment: Ms. Eastman pointed out that until the inspection was
complete there might be dangers in the structure.

Ms.Welsch responded that their entry was required for cleaning
and repair work, and that SMS would assume all risk and expense.

4. Ms.Welsch wanted to make it clear that the intent of SMS in
receiving the lease is more than just to restore the house. They
wish to make it a museum and educational center for local and
regional history. They envision having it available for school
groups to visit.

Comment: None.

5. Ms.Welsch said that SMS disagrees with the lease provision
that all proceeds, if any, from their insurance policy should go to
the Historical Society if the building is totally destroyed. SMS’s
position is that any such proceeds should devolve to the SMS
Board of Directors to freely decide the disposition.

Comment: Ms. Feier said she desires that any such insurance
proceeds would go to a University City non-profit organization,
such as the University City Historical Society.

As this point seemed to reach an impasse for the present
meeting, it was agreed that Mr.Walker and SMS discuss this in
committee, and recommend a mutually agreeable solution.
