shall be recorded in the Office of the Recorder of Deeds of St. Louis County <br /> as a covenant running with the land. UCRC shall thereafter transfer the <br /> property back to the private investor subject to the executed Parcel <br /> Development Agreement. <br /> (e) Limitation on Governmental Assistance: It is mutually agreed <br /> by the parties hereto that UCRC, its successors and assigns, will not accept <br /> nor apply for any direct or indirect governmental funding or assistance <br /> whether local, county, state or federal, other than the assistance set forth <br /> and called for by this agreement, assistance obtained from the City or any <br /> instrumentality thereof or benefits arising under the Internal Revenue Code <br /> z of 1954, as amended, and/or the Missouri Income Tax Laws, in connection with <br /> the property or leasing of same, without first obtaining the prior written <br /> i <br /> approval of the Authority as to the specific funding or assistance to be s <br /> utilized by the UCRC. <br /> 4. All properties located within the Parkview Gardens Project Area <br /> P <br /> (excepting those listed on Exhibit B to the Development Plan) shall be <br /> subject to acquisition by UCRC. The UCRC shall have the power of eminent ' <br /> domain with regard to any such properties and shall exercise said power ` <br /> pursuant to Chapter 353 R.S.Mo. 1978, as amended, but only when and if said <br /> properties are vacant at the time of commencement of the attempt to acquire; fl` <br /> provided further that the UCRC shall, not less than thirty days prior to the <br /> filing of any petition of eminent domain, notify the City Council of UCRC's <br /> intention to so file, and the City Council shall, within said period, have <br /> the right to direct the UCRC not to proceed with said petition of eminent <br /> domain. <br /> P <br /> i <br /> 5. UCRC will assess the potential advantages of tax incentives through <br /> the use of limited partnerships and historic district designations and <br /> disseminate such information to private investors indicating the availability <br /> of these incentives and describing the application process for participation <br /> in the Grant Program. <br /> —4— <br />
