certain historic features of the Building, including restoration <br />of the Tivoli Buildingts facade and the Tivoli Theatre lobby. <br /> <br /> 3. Schedule for Improvements. The Authority agrees that <br />it will require any proposed rehabilitation of the Tivoli <br />Building undertaken in accordance with this Agreement to be <br />completed within two years after commencement of such work. <br /> <br /> 4. Loan. Upon execution of this Agreement, the City <br /> <br />shall loan to the Authority the amount of $75,000. The Authority <br />may use the funds it such manner as it deems appropriate to carry <br />out the purposes of this Agreement, including a loan of said <br />funds to the owner of the Tivoli Building. The Authority shall <br />repay the principal amount of $75,000 to the City within twenty <br />years from execution of this Agreement~ provided, however, that <br />in the event the Authority loans the funds to the owner of the <br />Tivoli Building, the Authority shall not be obligated to repay <br />the funds to the City until the Authority has received repayment <br />of the funds from the owner of the Tivoli Building. <br /> <br /> 5. Severability. In the event any paragraph, term, or <br />provision of this Agreement is held to be unenforceable by a <br />court of competent jurisdiction, the remainder shall continue in <br />full force and effect, to the extent that the remainder can be <br />given effect without the invalid provision. <br /> <br /> 6. Entire Agreement: Amendment. The parties agree that <br />this Agreement constitutes the entire agreement between the <br />parties and that no other agreements or representations other <br />than those contained in this Agreement have been made by the <br /> <br />STL-~258~ <br /> -- 4 -- <br /> <br /> <br />
